Michael:  We all owe you a massive debt for pulling this together—even if it does involve some cribbing & boilerplate!  I do have a few points of concern on specifics (I haven’t gone through the whole doc in detail, so I may have more, but time limits what I can read):

Article 3, Section 7:7, Duties of Secretary-Treasurer
Current text places duty for collecting dues on Sec-Treas’er.
As dues and subscription to JSYS are one and the same, and as Berkeley-IEAS collects them, would it be appropriate to grant the BofD the power to designate and alternative?

Art. 4, Section 5: Compensation to the BofD
This ought to acknowledge the fiscal limits of SSYS.  If SSYS were obligated to provide reimbursement to the BofD for travel to AAS, etc., for formal meetings we would be bankrupt in no time.

Art. 4, Section 7:  Place of Meetings
Mightn’t a required annual meeting of the BofD be in conjunction with AAS, separately and in advance of the SSYS meeting, rather than “at the principle office of the Society”?

Just some initial thoughts.

Dear Michael et. al.,
I second Hugh's thanks to Michael for the organizational work he has
taken on.  I am pasting in below a few comments based on a quick reading of
the proposed bylaws...Best, Beverly

Article 1

            Section 2:  Shall we change language in section 2 to make

it easier to change location of principle office?  If the Secretary is to
keep all records, should the principle office change each time a new person
becomes the Secretary? Or (and this can be taken as a motion) shall we
simply appoint Michael secretary for life!

Article 3

            Section 6:  I think there should be some discussion of

whether the Editor/President offices should be held concurrently.  My
concern is that the Editorship is already onerous; depending on how much
work the job of President requires, it might be asking a lot of one person
to handle both jobs. If, however, the Presidential “duties” are primarily
running the meeting at AAS, then the concurrent appointment should not be a
problem.

            Section 7  I concur with Hugh that the “Place of Meetings”

ought to be changed to AAS.  Otherwise, Article 14 seems to say that each
year we would have to have a resolution by the board of directors to hold
the meeting at AAS.

Article 4

Section 3 and Section 10

Notification by telegraph?  Maybe that should be email!

Article 8 Section 5

            Since everyone involved will be serving without

compensation, do we need to include the extended discussion of compensation
in this section?

Article 14

Section 4  Again I’d suggest we stipulate notification by email and/or
announcement in the AAS program rather than mailing.
